1. General Description of Path for Consultation: We typically work with CEOs and Companies within a 90 day consultation.  If the Company does not have a Strategic Plan for the business, we develop one over the 90 day engagement, which includes: 1) A Strategy and Vision for Growth; 2) A financial Model for the growth of the business; 3) A complete Business Plan describing the business opportunity and the plan to the achieve the Vision, and 4) a Critical Path for the launch of the new plan. For Companies that also want to create a Capital Formation Strategy to support the Business Plan we provide an additional segment and the legal support for the creation of an exempt private offering.

2. Description and Scope of Services:  The scope of the consulting services we will provide is broadly described as follows:

a. Strategic Process (30 days).
1) Review financial information and conduct company and market due diligence.
2) Conduct strategic planning meeting 1½ days. Working through specific a planning questionnaire and planning agenda. Establish vision and goals for the business.
3) Provide a broad financial feasibility assessment.
4) Create Report of Initial Assessment and Recommendations based on our meeting.
5) Conduct weekly conference calls to address agenda items related to creating form around the vision and goals.

b. Financial Process (30 days).
1) Create financial model which captures the key components of the vision and the goals of the company.
2) Research comparable businesses and competition.
3) Solicit proposals from key contributors to the final launch (e.g. website designers, marketing support e.g. social media, traditional media, PR etc.).
4) Assess capital and human resource needs.
5) Conduct mid-term meeting 1½ days to report and assess additional ideas prior to creation of business plan.
6) Conduct weekly conference calls with management to address agenda items related to creating the business plan.

c. Business Plan and Launch Process (30 days).
1) Provide final financial model and launch budget.
2) Capital needs assessment.
3) Executive Summary and PowerPoint Presentation.
4) Complete Business Plan.
5) Critical Path Memo with calendar for launch of Business Plan
6) Conduct final meeting 1½ days to present final Business Plan and other deliverables.
7) Conduct weekly conference calls with management to address agenda items related to completion of the engagement or the commencement of the Capital Plan process.

d. Capital Planning Process and Private Placement (30 days).
1) Conduct due diligence and create pre-market valuation of pro forma company.
2) Create capital plan including private offering components.
3) Design structure and create all legal and corporate documentation required for creation of a private placement of securities according to exemption from regulation according to SEC Regulation D or a Venture Capital design for offering according to an exemption pursuant to Section 4(2) of the 1933 Securities Act.
4) Create issuer process, protocol and marketing plan for the sale of securities.
5) Conduct meeting 1½ days to present final Private Placement Memorandum, corporate documents and other deliverables.
6) Conduct weekly conference calls with management to address agenda items related to completion of the engagement or the commencement of the private placement.

e. Sale and “Direct Participation” Issuance of Securities. The sale and issuance of the securities if conducted by the issuer (i.e. your company) does not legally require sale through a licensed and registered “Broker/Dealer.” However the rules related to an issuer related sale (called a “Direct Participation Program” sale) do require that certain rules be followed.
